Terms of Service
These Terms of Service explain how Hive.QI is offered, how licenses work, and how our Merchant of Record (FastSpring) handles payments, taxes, and invoicing.
Last updated: 24 November 2025
1. Service description
Hive.QI is an automation infrastructure node that orchestrates autonomous AI workers, automation pipelines, and related software tools (the "Service"). The Service is designed for professional and business use only.
2. Merchant of Record & payments
Payments for Hive.QI licenses are processed by our Merchant of Record, FastSpring. FastSpring is responsible for securely processing your payment information, charging your selected payment method, collecting and remitting applicable taxes, and issuing invoices or receipts where required by law.
When you purchase a Hive.QI license, your contract for the financial transaction is with FastSpring, acting as Merchant of Record. Your contract for the use of the Service remains with us.
3. Licensing model
Hive.QI is licensed on a per-node basis under Silver, Gold, or Platinum license tiers. Your order confirmation and invoice specify your active tier, pricing, and permitted usage.
- Licenses are granted for business use by the purchasing entity.
- Access credentials and license entitlements may not be resold, shared outside your organisation, or used to run an unlicensed multi-tenant service.
- We may update features and underlying technology over time. Where feasible, upgrades are designed to be backwards compatible for existing licensees.
4. Revenue share & performance
Hive.QI licenses may include revenue-share terms linked to your verified monthly profit generated through the node. Any revenue-share structure will be clearly described in your order form and/or Data Processing and Revenue Share Annex.
5. Refunds and chargebacks
Our refund approach is described in more detail in the Refund Policy. FastSpring manages payment disputes and chargebacks in line with card-scheme rules and applicable law. We may suspend access to the Service if a payment is reversed or flagged as fraudulent.
6. Acceptable use
You must not use Hive.QI to:
- Violate any applicable law or regulation.
- Deploy automations that intentionally abuse, overload, or damage third-party platforms.
- Engage in harassment, discrimination, hate speech, or other behaviour that would reasonably be considered abusive.
- Attempt to bypass security controls, licensing mechanisms, or payment obligations for Hive.QI or any connected service.
7. Intellectual property
We retain all rights, title, and interest in and to Hive.QI, including underlying software, models, interfaces, and documentation. You retain all rights to your own data, brand, and customer relationships.
8. Data protection
Our handling of personal data is described in the Privacy Policy. By using Hive.QI you agree that we may process personal data as necessary to provide and protect the Service, including using sub-processors such as FastSpring as Merchant of Record.
9. Disclaimers
Hive.QI is provided on an "as-is" and "as-available" basis. To the maximum extent permitted by law, we disclaim all implied warranties, including fitness for a particular purpose and non-infringement.
10. Limitation of liability
To the extent permitted by law, our aggregate liability arising out of or relating to the Service will be limited to the fees paid by you for the twelve (12) months immediately prior to the event giving rise to the claim. We are not liable for indirect, consequential, or punitive damages.
11. Governing law
Unless otherwise required by local law, these Terms are governed by the laws of South Africa, without regard to conflict-of-law principles. Disputes will be handled in competent courts in South Africa, unless another forum is required by mandatory law.
